A simple one. If a term sheet is simple, the only thing that should really matter in it is price, and to some extent, control. How much control you are giving up. And control really is just board seats, who has how many. Most of the rest doesn’t really matter — if the term sheet is simple. Get a good lawyer, and make sure even if you haven’t done it before that the term sheet seems fairly concise. If it is, that’s a good sign. If it’s 5+ pages, has weird terms that no one has heard of before, tranches, weird covenants … well not only is it “bad”, but more importantly, the more complex the term sheet, the less likely the deal is to close.
